General considerations
With the placement of an order or with completion of a contract the client recognizes our general trading conditions. Deviations from our general trading conditions apply only if expressly confirmed by us in writing. All our services and all our products are exclusively intended for research purposes and may neither be used directly or indirectly in humans or animals nor for diagnostic or therapeutic purposes. Any handling of materials provided by us shall only take place by appropriately trained personnel.
We explicitly refuse to work with infectious, potentially infectious or other high risk material. In this particular circumstances we can conduct some of the biochemical work and/or test kit development in our laboratory with the aim that the final validation work and the measurement of samples is conducted in the client’s laboratory. Advice on appropriate procedures and safety requirements for laboratory work can also be provided.
Guarantee and limitations
The client is solely responsibility for adherence to patent laws as far as acquisition of our services and products are concerned. We do not guarantee the suitability of our products for other purposes than the specific purpose determined in the product descriptions or the agreement with the client. We are exclusively responsible for products, which correspond with the characteristics indicated in the product description at the time of dispatch from our laboratory. If a product or service does not fulfil the agreed purpose specified in the contract, appropriate reimbursement of the purchase price or a free replacement of the product can be arranged. We are not responsible for any result of inappropriate handling, use or storage of a product by the client. In addition, we are not responsible for any loss or damage during shipment of our products. Our obligation for compensation is limited, as far as legally permissible, to the replacement of a product at the value of the material. We do not take responsibility for loss or damage during transport and related consequences.
Prices
All prices are individually negotiated and apply to agreed cost estimate. A price list with fixed costs is not available. All prices are in Euro (EUR) plus tax. Costs for packaging and dispatch have to be carried by the client.
In the case of supplies abroad the client carries all costs for transport, export and import documents, procedures and fees. If the client does not specify arrangements for dispatch or shipment, we will choose a suitable mode of shipment. The customer will carry all such costs.
Supply
The dispatch of results, test materials and test kits and other products takes place as promptly as possible after completion of the work and/or after arrival of the necessary export or import documents. We cannot guaranty specific delivery times and appropriate agreements or contracts have to be arranged with the shipping company. We are not responsible for unexpected events that are beyond our control, operational disruptions, delivery loss or delays of shipments during transport. Such events entitle us to withdraw totally or in part from the contract or agreement. The client is required to examine all goods immediately after receipt of the shipment for completeness and damage. Any complaint has to be received in writing within seven working days. The client agrees that all complains about our products or services will be resolved at our discretion. Any returns and/or replacements of products require a specific agreement.
Payment
Unless otherwise arranged, payment in full is due within 30 days of the date of the invoice. Services, research results and products remain our property until payment in full has been received. For delays of payments we are entitled to receive interest rates at a value of four per cent points over and above the base interest rate of the European Central Bank.
Final clauses
In accordance with German Federal Law for Data Protection it is pointed out that data of our business partners and clients are to be stored and processed in electronic form. If one or several of the regulations should be ineffective, the effectiveness of the remaining regulations is not affected. The ineffective regulation is to be amended in such a way that its purpose is maintained as far as legally possible. German Law applies in case of any dispute.
